Life Bible College Act

[SBC 1988] CHAPTER 65

Assented to June 29, 1988

Interpretation

1   In this Act

"board" means the Board of Directors of the College;

"college" means Life Bible College of Canada;

"president" means the President of Life Bible College of Canada.

Incorporation

2   The Life Bible College of Canada is constituted pursuant to this Act as a corporation under the name "Life Bible College of Canada".

Objects

3   The objects of the college are to provide Christian training for people of any race, colour or Christian creed.

Board of Directors

4   (1) The management and administration of the business, affairs, property and revenue of the college shall be the responsibility of the board.

(2) Subject to this Act, the board may exercise all the powers and duties set out in the bylaws of the college.

(3) The persons who, on the coming into force of this Act, are members of the Board of Directors of the college, shall continue as members of the board until their successors are appointed in accordance with the bylaws.

Bylaws

5   (1) The board shall enact bylaws for all purposes relating to the affairs, business, property and objects of the college including but not limited to, bylaws respecting

(a) appointment to and membership of the board,

(b) the filling of vacancies in the board,

(c) the formation of a Board of Regents to serve as the administrative body of the college,

(d) the determination and delegation of authority and responsibility to the Board of Regents,

(e) the conduct and location of meetings of the board and of the Board of Regents, the notices and consents prerequisite to such meetings, quorum, voting rights and all other matters in relation thereto,

(f) all matters relevant to the terms and conditions of employment of the employees of the college,

(g) the remuneration, if any, to be paid to the officers and employees of the college,

(h) the exercise of borrowing powers,

(i) the maintenance and audit of accounts of the college,

(j) the custody and use of the corporate seal of the college,

(k) the establishment, levy, payment, remission and collection of registration or other fees or assessments as required from time to time,

(l) the curriculum and conduct of courses of study,

(m) the authorization of secondary and post-secondary education courses of study normally required for completion of secondary school for admission,

(n) the granting of theological degrees,

(o) the resolution of disputes arising out of the affairs of the college by arbitration in accordance with the provisions of the Commercial Arbitration Act or otherwise, and

(p) the conduct generally of the affairs of the college.

(2) The bylaws of the college, so far as they are not inconsistent with this Act, are continued as the bylaws of the college.

(3) The board shall cause to be filed with the Registrar of Companies, a copy of the bylaws of the college as well as copies of all amendments to them.

Agreements

6   The board, on the behalf of the college, may enter into an agreement or agreements with any university, college or other educational institution or with any person, for the co-operative conduct of any of the programmes of the college.

Meetings of Board of Directors

7   (1) The board shall meet not less than once each calendar year and at other times it may deem necessary or advisable.

(2) The members of the college shall enact bylaws setting out provisions for the conduct of its meeting and specifically providing for the giving of not less than one week's written notice of every meeting of the board to each member thereof.

(3) The president of the Foursquare Gospel Church of Canada shall serve concurrently as the president of the corporation and shall preside at all meetings of the board or designate some other person to act in his place.

(4) The board shall appoint from among its members a vice president, secretary, treasurer and such other officers as it considers necessary or advisable.

Meetings of Board of Regents

8   (1) The Board of Regents shall meet not less than 6 times each calendar year

(a) as it considers necessary or advisable, and

(b) at such other times

at the direction of the Board of Directors.

(2) The Board of Directors shall enact bylaws providing for the conduct of the meetings of the Board of Regents.

Appointment of president

9   The Board of Directors, upon the recommendation of the Board of Regents, shall appoint the president of the college.

President's powers and duties

10   The president of the college shall be the chief executive officer of the college and shall supervise and direct the work of the college, the faculty and the administrative staff.

Appointment of staff

11   (1) The Board of Regents, on the recommendation of the president of the college, shall appoint the Academic Dean, the Dean of Students, the librarian, the registrar, the bursar, the professors, the lecturers, the instructors and all other officers, clerks and employees as it considers necessary for the purposes of the college.

(2) The Board of Regents shall define the duties and tenure of office or employment for all faculty and staff of the college.

Property tax exemption

12   (1) The college is exempt from taxation, levies and all other charges imposed under the Education (Interim) Finance Act, the Municipal Act, the School Act, the Municipal Finance Authority Act, the British Columbia Assessment Authority Act and the Taxation (Rural Area) Act in respect of property

(a) owned by it, or

(b) leased by it from the Crown, a municipality or a board of school trustees

where that property is occupied by the college and used by it for educational purposes.

(2) This exemption shall be deemed to come into force on December 31, 1988.

Dissolution or winding up

13   (1) In the event of the winding up or dissolution of the college, all funds and assets of the college remaining after the payment of all costs, charges and expenses properly incurred in the winding up, including the remuneration of a liquidator and after payment to employees of the college of any arrears of salaries and wages, and after the payment of any other debts of the college, shall be paid and transferred to the Foursquare Gospel Church of Canada.

(2) The provisions of the Company Act relating to the winding up of companies apply to the college, but a reference in that Act to a special resolution shall be deemed to be a reference to a resolution of the board.
