Short title

1   This Act may be cited as "Point Grey Golf and Country Club Validation Act, 1957."

Articles and by-laws declared valid

2   Notwithstanding any law or Statute to the contrary the articles of association of Point Grey Golf and Country Club Limited and the by-laws of Point Grey Golf and Country Club as filed in the office of the Registrar of Companies as of the date of passing of this Act are hereby declared valid and effectual to all intents and purposes whatsoever and By-law 6 (a) of Point Grey Golf and Country Club shall be construed as if the number "22" appeared in the third line thereof in the place and stead of the number "81."

Acts of directors and officers declared valid

3   All acts and deeds of the directors and officers of Point Grey Golf and Country Club Limited and of Point Grey Golf and Country Club to the date of the passing of this Act so far as the same relate to:

(a) Membership in the said limited Company:

(b) Membership in the said Club:

(c) The acceptance of resignations, retirements, or withdrawals of shareholders or members of the said limited Company or the said Club:

(d) The transfer of shares in the said limited Company, subject, however, to the provisions of section 5 of this Act:

(e) The imposition and collection of transfer fees, dues, and assessments,—

are hereby declared to be and to always have been good, valid, and effective acts and deeds of such directors and officers for such purposes.

Directors confirmed

4   The directors of Point Grey Golf and Country Club Limited elected at the annual meeting of the Company held the twenty-second day of November, 1956, are hereby declared to be the directors of the said Company, to hold office until the next annual general meeting, whereat their successors shall be duly elected in accordance with the provisions of the articles of association of the said Company.

Rights of members

5   Nothing in this Act shall prevent any person from establishing in a Court of competent jurisdiction that he or she is lawfully entitled to be registered as the holder of a share or shares in the said limited Company; but no meeting or proceedings of the shareholders, members, or directors of the said limited Company or of the said Club, or action taken as a result thereof, shall be or be deemed to be invalid by reason of the fact that such person did not receive notice of or did not attend any such meeting.

Approval and proclamation of Act

6   This Act shall come into operation on a date to be fixed by the Lieutenant-Governor in Council by his Proclamation: Provided that this Act shall first have been approved by vote of not less than three-fifths of such persons who, according to the records of membership of Point Grey Golf and Country Club Limited and Point Grey Golf and Country Club, are members in good standing thereof and who attend and vote in person at a special general meeting of the said Point Grey Golf and Country Club Limited and Point Grey Golf and Country Club, of which not less than fourteen days' notice has been given by letter addressed to the last-known address of the said persons.
