WHEREAS a petition has been presented praying for an Act to dissolve Maple Ridge Agricultural Association, incorporated August 20th, 1914, and to incorporate a society with the rights, powers, and privileges hereinafter set forth, and it is expedient to grant the prayer of the said petition:

THEREFORE, HER MAJESTY, by and with the advice and consent of the Legislative Assembly of the Province of British Columbia, enacts as follows:—

Short title

1   This Act may be cited as the Maple Ridge Agricultural Association Incorporation Act.

Dissolution of Association

2   The Maple Ridge Agricultural Association, incorporated August 20th, 1914, pursuant to section 6 (1) of the Agricultural Associations Act (1914) (hereinafter referred to as the "1914 Association"), is hereby dissolved.

Incorporation and name of Society

3   Charles Spencer Pallot, Auctioneer, Haney; Olive Esther Leaf, Housewife, Whonock; and Henry John Barten, Civil Servant, Haney, all in the Province of British Columbia, together with those other persons who were members in good standing on Wednesday, December 2nd, 1959, of the 1914 Association and together with such other persons as shall hereafter become members therein, are constituted a body politic and corporate under the name of "Maple Ridge Agricultural Association" (hereinafter called the "Society").

Transfer of assets and liabilities

4   All assets and liabilities of any kind whatsoever, formerly the assets and liabilities of the 1914 Association, are hereby transferred or conveyed to the Society.

Perpetual succession

5   The Society shall have perpetual succession and a common seal.

Liability of members

6   No member of the Society shall, in his individual capacity, be liable for any debt or liability of the Society.

Address

7   The address of the Society shall be in the Municipality of Maple Ridge.

Objects

8   The Society shall have full power and authority to pursue the following objects:—

(a) To encourage the cultivation of the soil and the general development of all the agricultural resources of the District of Maple Ridge, and to foster every branch of mechanical and household arts calculated to increase the happiness of homelife:

(b) To further the interests of the community generally:

(c) To carry on horse-racing in all its branches and to operate a pari mutuel or other system of betting or wagering with respect thereto:

(d) To buy or otherwise acquire and to sell horses and other live stock, and to develop the breeding, training, and racing of any or all such live stock:

(e) To provide and maintain a track or tracks for the running of horse-races, steeplechases, or races of any other kind:

(f) To provide and maintain premises for the holding of any kind of athletic sports:

(g) To provide and maintain premises for the holding of agricultural, horse, flower, and other shows and exhibitions:

(h) To construct grand and other stands, booths, stables, paddocks, refreshment-rooms, and other erections, buildings, and conveniences which may be deemed to be directly or indirectly connected with the Society's activities:

(i) To provide, give, and contribute toward prizes, stakes, cups, and other awards:

(j) To pass rules and regulations affecting the licensing, duties, and responsibilities of owners, trainers, jockeys, apprentices, grooms, and other persons engaged in the training, racing, and handling of horses:

(k) To regulate the levying and collecting of fines and penalties against owners, trainers, jockeys, apprentices, grooms, and others employed within the Society's premises and engaged in racing and matters connected therewith:

(l) To define and regulate the duties, responsibilities of stewards, judges, starters, clerk of scales, paddock and patrol judge, timer, physician, veterinary surgeon, racing secretary, official handicapper, and any and all officials and employees of the Society:

(m) The powers conferred by paragraphs (c), (d), (e), (h), (i), (j), (k), and (1) of this section are subject to the provisions of the Racing Commission Act, chapter 67, Statutes of British Columbia, 1959, and the Horse-racing Regulation Act, chapter 150, R.S.B.C. 1948, and any amendments thereto or any Statute in substitution thereof.

Ancillary powers

9   The Society shall have as ancillary and incidental to the above-mentioned powers the powers set forth in sections 9 to 22 of the Societies Act, except in so far as any of such powers may be inconsistent with or repugnant to the provisions of this Act.

Directors

10   The persons named as officers and directors of the 1914 Association at its annual meeting held on Wednesday, December 2nd, 1959, shall be the first officers and directors of the Society; and thereafter the officers and directors shall be such persons as are from time to time appointed or elected pursuant to the by-laws of the Society.

Powers of first directors

11   The first officers and directors may conduct the business, discipline, and management of the Society and its affairs and may exercise all the powers of a society subject to the provisions of the Societies Act and to the by-laws of the Society.

By-laws

12   The by-laws of the 1914 Association shall be the by-laws of the Society and shall not be repealed, altered, or added to except by an extraordinary resolution of the Society and otherwise in pursuance of the Societies Act.

Directors may contract with Society

13   Any director may accept and hold office or place of trust or profit under the Society and may enter into or be interested in any contract with the Society and may receive any salary or remuneration for attending to the business of the Society as an officer, employee, agent, solicitor, or otherwise.

Annual meetings, etc.

14   The first general meeting of the Society shall be held not later than one year from the date on which this Act comes into force, and thereafter an annual meeting of the Society shall be held once at least in every calendar year.

Application of Societies Act

15   The following sections of the Societies Act shall, mutatis mutandis, apply except in so far as any of them are varied by or inconsistent with or repugnant to the provisions of this Act, in which case the provisions of this Act shall prevail to the extent of such variation, inconsistency, or repugnancy: Sections 2 to 6 inclusive, 23 to 28 inclusive, 29 to 36 inclusive, 37 to 42 inclusive, 53 to 58 inclusive, and 60.
