Vancouver Centennial Celebration Act

[SBC 1982] CHAPTER 55

Assented to July 23, 1982

WHEREAS by the Vancouver Incorporation Act, 1886, S.B.C. 1886, c. 32, enacted on the 6th day of April, 1886 it was deemed expedient that the inhabitants of the tract of land commonly known as the Town of Granville and vicinity should be incorporated;

AND WHEREAS by section 1 of that Act Her Majesty by and with the advice of the Legislative Assembly of the Province of British Columbia enacted the following declaration:

From and after the passing of this Act the inhabitants of the tract of land hereafter described in the second section hereof, and their successors shall be, and are hereby declared to be, a body politic and corporate in fact and law, by the name of "The City of Vancouver,...";

AND WHEREAS it is desirable to provide for the celebration of this event in the City of Vancouver;

THEREFORE, HER MAJESTY, by and with the advice and consent of the Legislative Assembly of the Province of British Columbia, enacts as follows:

Interpretation

1   In this Act

"commission" means the Vancouver Centennial Commission;

"council" means the Council of the City of Vancouver.

Commission established

2   (1) There shall be established a commission consisting of those persons appointed by the council.

(2) On their appointment, the members of the commission are a non-profit corporation under the name "Vancouver Centennial Commission".

(3) The council may appoint honorary officers and honorary members to the commission.

(4) The council may revoke the appointment of a member.

(5) The council may designate one or more members to be chairmen of the commission.

(6) A chairman shall preside at meetings of the commission and is entitled to vote on all matters.

(7) If a chairman is unable to preside at a meeting of the commission the members shall elect from among them a person to preside.

(8) The commission may adopt rules of procedure for the conduct of its business.

(9) The members, honorary officers and honorary members shall serve without remuneration, but may be reimbursed for any expenses necessarily incurred by them in the performance of their duties in the manner and in the amount directed by the council.

(10) The Company Act does not apply to the commission, but the council may order that one or more provisions of that Act apply.

Powers

3   The council may

(a) make and carry out all arrangements necessary for organizing a celebration of the centenary of incorporation of the City of Vancouver,

(b) enter into agreements or arrangements with any other person, association or organization for the purpose of planning, co-ordinating and organizing the centennial celebration,

(c) do whatever is necessary to coordinate, plan and organize the centennial celebration,

(d) appoint subcommittees of the commission composed of members or honorary members or officers of the commission or other persons,

(e) make rules for the appointment, conduct and business of local or community centennial committees,

(f) to carry out the objects of this Act, appoint and dismiss employees and determine their remunerations and conditions of employment,

(g) administer all funds, grants, gifts and other personal or real property received by the commission,

(h) acquire and dispose of real and personal property necessary for the commission's purposes,

(i) make grants to any person, association or organization to assist in the financing of the centennial celebration,

(j) adopt emblems, crests, badges or marks for the commission or the City of Vancouver, or both,

(k) do and perform all other matters, things and duties necessary for the advancement of the centennial celebration, and

(l) delegate to the commission any of the powers referred to in this section.

Funds

4   (1) Notwithstanding section 206 of the Vancouver Charter, the council may grant funds to the commission that the council considers necessary for the commission to carry out its functions.

(2) The commission may accept grants from any source.

Records

5   The commission shall keep and preserve records of all of its proceedings.

Auditors

6   The accounts of the commission shall be audited by a person appointed by the council.

Expenditure approval

7   The commission shall not incur liabilities or make any expenditures unless an estimate of them has first been submitted to and approved by the council.

Offence

8   (1) No person shall in any way use, publish, display or reproduce, or cause to be used, published, displayed or reproduced, the emblems, crests, badges or marks of the City or the commission, except on written authorization of the City or the commission, as the case may be.

(2) No person shall, for the purpose of denoting himself, assume, publish, use or continue to use any name, designation, title or device that indicates or tends to indicate, or that is reasonably susceptible of the interpretation, that he is associated with, established or supported by the commission, or has any authority from or exercises any functions of the commission, if he is not associated with, established or supported by the commission, or is not authorized by, or does not exercise any function of, the commission.

(3) A person who contravenes this section commits an offence and is liable to a fine of $2 000.

Limitation on liability

9   No member, honorary member, honorary officer or employee of the council, the commission or their subcommittees is personally liable for anything done or omitted to be done in good faith in the exercise or purported exercise of the powers conferred under this Act.

Dissolution

10   (1) When the council considers that the purposes for which the commission has been established have been fully carried out and the affairs of the commission have terminated, the council may direct the disposition of all assets vested in the commission and order its dissolution.

(2) The powers of the commission shall cease on the order of dissolution except for the purpose of allowing the commission to wind up its affairs and dispose of its assets as ordered.
