that will be subdivided to create Lots 1 to 8 as shown on the attached proposed site plan prepared by Focus Architecture and Planning Ltd.

by or on behalf of Rempel Development Group Ltd. and Grosvenor Capital Corporation, is exempt from Part 2 of the Real Estate Act on condition that

(a) at the time of the transfer of title to the purchaser, or, in the case of a lease, at the time of the commencement of the term of the lease, the subdivided lot has no buildings intended for residential occupation,

(b) Rempel Development Group Ltd. and Grosvenor Capital Corporation keep all monies from purchasers or lessees in the trust account of a solicitor or real estate agent until Rempel Development Group Ltd. and Grosvenor Capital Corporation have complied with section 940 of the Local Government Act, and

(c) Rempel Development Group Ltd. and Grosvenor Capital Corporation notify all purchasers or lessees at the time of an offer for sale or lease

(i) that the offering is exempt from Part 2 of the Real Estate Act and that they will not receive a prospectus or a disclosure statement receipted under the Real Estate Act and will not have the benefit of any rights or protections afforded by Part 2 of that Act, and

(ii) that the purchasers or lessees must comply with Part 2 of the Real Estate Act if and when they offer strata lots to be constructed on the subdivided land for sale or lease to the public.

Pursuant to section 6 of the Regulations Act, I hereby exempt from publication the sketch attached to B.C. Reg. 157/2004.

This sketch may be inspected at the offices of the Financial Institutions Commission, 1900, 1050 West Pender Street, Vancouver, B.C. V6E 3S7.
